Mayu Global Takes Full Control of Property Arm Amid AMLA Issue Resolution
KUALA LUMPUR (April 9): Mayu Global Group Bhd has completed the acquisition of the remaining 20% stake in its property subsidiary, Sunrise Manner Sdn Bhd (SMSB), making it a wholly-owned unit.
The group purchased 500,000 shares at RM1 each, amounting to RM500,000, from director Tang Thiam Hock. Following the acquisition, the company stated that there will be no impact on its share capital, major shareholdings, or key financial indicators such as earnings per share, net assets, and gearing for FY2026.
What I learned:
This move highlights a strategic consolidation effort by Mayu Global to gain full ownership and control over its property development arm. By taking 100% equity in SMSB, the group can streamline decision-making, improve operational control, and potentially reposition its property segment more effectively—especially important during a period of weaker earnings.
Another key takeaway is how companies manage regulatory and legal complications. SMSB was previously linked to a RM24 million compound issued under the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001. Although the issue was tied to a former shareholder in a personal capacity, Mayu Global stepped in to settle the compound to secure the release of the subsidiary’s assets. This reflects a practical business decision—prioritising asset recovery and continuity over prolonged legal uncertainty.
Financially, the group is currently under pressure. It recorded a net loss of RM1.49 million for 1HFY2026, reversing from a profit a year earlier, mainly due to slower property progress billings and weaker manufacturing sales. This suggests that while the acquisition itself is not financially material in the short term, it could be part of a longer-term restructuring or recovery strategy.
Overall, the situation shows how corporate actions—like full acquisitions and legal settlements—are often interconnected. Even relatively small transactions can play a role in stabilising operations, managing risk, and setting the foundation for future growth.
